1. Acceptance of Terms

These Terms of Service (hereinafter referred to as “Terms” or “Agreement”) constitute a legally binding contract between you (hereinafter referred to as “User,” “you,” or “your”) and Vishesham Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at A43, Block 55, Jeevan Bhima Nagar, Anna Nagar West Extension, Chennai – 600101, and its operational office at 126, SIDCO Plug & Play, 3rd Main Road, Ambattur Industrial Estate, Chennai – 600058 (hereinafter referred to as “Vishesham,” “the Company,” “we,” “us,” or “our”), in connection with the use of the platform “Buddy Mentor” accessible at www.buddymentor.ai and through any associated mobile application (collectively referred to as the “Platform”).

BY ACCESSING, BROWSING, REGISTERING ON, OR USING THE PLATFORM IN ANY MANNER WHATSOEVER, YOU IRREVOCABLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY, TOGETHER WITH OUR PRIVACY & COOKIE POLICY, DISCLAIMER POLICY, LEGAL COMPLIANCE POLICY, AND ANY OTHER SUPPLEMENTARY TERMS, GUIDELINES, OR POLICIES APPLICABLE TO SPECIFIC FEATURES OF THE PLATFORM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE YOUR USE OF THE PLATFORM.

These Terms shall be read in conjunction with applicable Indian law, including but not limited to the Information Technology Act, 2000 (as amended, including the IT Rules, 2021), the Digital Personal Data Protection Act, 2023, the Consumer Protection Act, 2019 read with the Consumer Protection (E-Commerce) Rules, 2020, the Copyright Act, 1957, and the Indian Contract Act, 1872.

2. Definitions

For the purposes of these Terms, unless the context otherwise requires:

1. “Platform” refers to the Buddy Mentor website (www.buddymentor.ai), mobile application (Android and iOS), and all associated products, features, content, and services offered thereunder.
2. “Content” means any text, data, information, software, graphics, photographs, audio, video, interactive features, or other material uploaded, posted, generated, or transmitted through the Platform.
3. “User-Generated Content” or “UGC” means any Content, including Reviews, Tech Diaries, Drill submissions, and Q&A posts, uploaded or contributed by Users on the Platform.
4. “Mentor” means any individual, industry professional, or educational expert who provides guidance, feedback, or instructional content through the Platform.
5. “Course” refers to any structured learning programme, skilling module, certification preparation content, or training material made available on the Platform, typically ranging from 8 to 16 weeks in duration.
6. “Memoirs” refers to physical merchandise, including but not limited to cups, T-shirts, badges, and similar commemorative items, sold through the Platform.
7. “Subscription” means any recurring or one-time paid plan that grants the User access to specific features, Courses, or premium resources on the Platform.
8. “Third-Party Services” means any external service, website, payment gateway, or application linked to or integrated with the Platform but not controlled or operated by Vishesham.

3. Eligibility and Registration

3.1 Eligibility

The Platform is available to individuals who are eighteen (18) years of age or older. By creating an account or using the Platform, you represent and warrant that you meet this minimum age requirement. Use of the Platform by individuals below the age of eighteen (18) is strictly prohibited without verifiable parental or guardian consent.

The Platform is designed to serve a global user base, including but not limited to: final-year Bachelor’s Degree and Diploma Engineering students, fresh graduates, and industry professionals seeking skill development, upskilling, and career advancement.

3.2 Account Creation

Users may create an account on the Platform by one of the following methods:

1. Linking and authenticating via a Social Media Account (including LinkedIn, Google, or such other platforms as may be enabled on the Platform from time to time); or
2. Registering using a valid Mobile Number or Email Address.

During the registration process, you will be required to provide the following information: your full name, age, gender, payment details (where applicable), a profile photograph (optional), and

your address. You represent and warrant that all information provided is accurate, current, and complete. You shall promptly update such information to ensure it remains accurate.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Vishesham immediately at contact@buddymentor.ai upon becoming aware of any unauthorised use of your account or any other breach of security. Vishesham shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Nature of the Platform and Services

4.1 Buddy Mentor is an educational technology and mentorship platform designed to provide skilling, training, and development services to engineering students, fresh graduates, and working professionals. The Platform facilitates:

1. Access to structured Courses, skilling programmes, and learning modules;
2. Mentorship and guidance from industry professionals;
3. Drill exercises and assessments for applied learning;
4. Q&A forums and peer learning communities;
5. Tech Diary features for documenting and sharing learning journeys;
6. Purchase of physical merchandise (Memoirs); and
7. Such other features and services as may be introduced from time to time.

THE PLATFORM OPERATES SOLELY AS AN EDUCATIONAL AND MENTORSHIP INTERMEDIARY. BUDDY MENTOR IS NOT A HIRING AGENCY, RECRUITMENT CONSULTANT, UNIVERSITY, GOVERNMENT BODY, OR REGULATORY AUTHORITY. ACCESS TO THE PLATFORM AND COMPLETION OF ANY COURSE OR PROGRAMME DOES NOT GUARANTEE EMPLOYMENT, ADMISSION TO ANY INSTITUTION, PROFESSIONAL CERTIFICATION, OR ANY SPECIFIC OUTCOME. RESULTS MAY VARY DEPENDING ON INDIVIDUAL EFFORT, PRIOR KNOWLEDGE, MARKET CONDITIONS, AND OTHER FACTORS BEYOND THE CONTROL OF VISHESHAM.

4.2 Proprietary Methodology:

Buddy Mentor may utilise proprietary educational, mentoring, assessment, and engagement methodologies, frameworks, systems, mechanisms, workflows, and instructional models developed, owned, licensed, or lawfully used by Vishesham Private Limited, including methodologies that may be the subject matter of patent applications, published patent specifications, intellectual property registrations, or other proprietary protection in India and/or other jurisdictions. Nothing contained in these Terms or through use of the Platform shall be construed as transferring, assigning, licensing (except as expressly permitted herein), or granting any ownership rights in such proprietary mechanisms, methodologies, or intellectual property to any User.

5. Intellectual Property Rights

5.1 Ownership

All Content, curriculum structures, mentoring frameworks, educational workflows, assessment logic, proprietary learning methodologies, AI-assisted content compilations, software architecture, platform design, branding, graphics, audio-visual materials, databases, source materials, and all associated intellectual property rights made available through the Platform are the exclusive property of Vishesham Private Limited and/or its licensors, technology partners, or authorised content providers, and are protected under applicable intellectual property laws, including the Copyright Act, 1957, the Patents Act, 1970, trademark laws, and other applicable laws.

5.2 Licence to Users

Subject to your compliance with these Terms, Vishesham grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal or professional learning purposes. This licence does not permit:

1. Reproduction, duplication, copying, or taking screenshots of any Content;
2. Redistribution, resale, sublicensing, or commercial exploitation of any Content;
3. Plagiarism or unauthorised use of any portion of the curriculum;
4. Recording, downloading, or circumventing any content protection mechanism; or
5. Sharing credentials, Content, or access with third parties.

5.3 User-Generated Content

By posting or uploading any User-Generated Content (including Reviews, Tech Diaries, Drill submissions, or Q&A responses), you grant Vishesham a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, adapt, publish, translate, and display such Content for the purposes of operating and improving the Platform. You retain all other ownership rights in your UGC and are solely responsible for its accuracy, legality, and appropriateness.

6. Prohibited Conduct

By using the Platform, you undertake that you shall not, directly or indirectly:

1. Copy, take screenshots of, screen-record, or otherwise reproduce any Content from the Platform;
2. Engage in plagiarism or misrepresent any Platform Content as your own original work;
3. Share, distribute, or otherwise make available any Platform Content to third parties, whether for commercial gain or otherwise;
4. Record, share, tamper with, or redistribute any audio or video content from the Platform;
5. Use the Platform for any purpose that is unlawful, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable;

1. Interfere with or disrupt the integrity or performance of the Platform or any associated systems;
2. Attempt to gain unauthorised access to any part of the Platform or its related systems or networks;
3. Use automated scripts, bots, scrapers, or similar tools to collect data from the Platform; or
4. Engage in any conduct that could expose Vishesham or any User to legal liability.

7. Payment, Subscription, and Refund

7.1 Payment Gateway

The Platform is integrated with third-party payment gateways. All payment transactions are processed by such gateways and are subject to their respective terms, conditions, and privacy policies. Vishesham does not store your financial credentials. By initiating a payment on the Platform, you consent to the processing of your payment information by the applicable payment gateway.

7.2 Nature of Transactions

The Platform supports both recurring Subscription-based access and one-time purchases. Courses are typically available for durations of 8 to 16 weeks, with an option to extend access for up to an additional 8 weeks, subject to the applicable plan terms and payment of any extension fees.

7.3 International Orders

The Platform accepts international orders and payments. Users making payments in currencies other than Indian Rupee (INR) may be subject to foreign exchange conversion rates, international transaction fees, and applicable taxes in their jurisdiction, none of which are controlled by Vishesham.

7.4 Cancellation and Refund

Users may request cancellation and refund strictly within seven (7) calendar days from the date of purchase or commencement of access to the applicable paid Course, Subscription, or learning programme, whichever is earlier (“Refund Window”).

Refund requests submitted after expiry of the Refund Window shall not be entertained, except where mandatory under applicable law.

Approved refunds shall be processed within fourteen (14) business days through the original mode of payment or such alternate lawful mode as determined by Vishesham.

Refund eligibility may be considered only in the following limited circumstances:

1. demonstrable technical failure attributable solely to the Platform materially preventing access to the purchased service;
2. duplicate payment or erroneous overcharging;
3. exceptional personal circumstances evaluated at Vishesham’s sole discretion; or
4. such other circumstances where refund is required under applicable law.

Refund shall not be available where:

1. the User has substantially consumed, accessed, participated in, downloaded, completed, or materially utilised the Course or paid services;
2. certificates, reports, premium downloadable resources, exclusive materials, assessments, or mentor access have already been provided;
3. dissatisfaction arising from subjective expectations, personal capability constraints, pace-related concerns, or outcome expectations;
4. delays or issues caused by third-party service providers, internet connectivity failures, device incompatibility, banking systems, or payment processors.

Where a refund is approved, Vishesham may deduct reasonable non-recoverable third-party transaction charges, payment gateway charges, banking fees, taxes where legally non-refundable, and proportionate charges corresponding to services already consumed.

Under no circumstances shall the maximum refund exceed eighty percent (80%) of the total amount actually paid by the User.

8. Third-Party Links and Services

The Platform may contain hyperlinks to third-party websites, services, or resources. Such links are provided solely for convenience and informational purposes. Vishesham does not endorse, control, monitor, or assume responsibility for the content, privacy practices, or availability of any third-party website or service. Your access to and use of third-party websites is at your sole risk and subject to the terms of those websites.

9. Notifications and Communication

By registering on the Platform and providing your contact information, you consent to receiving communications from Vishesham, including but not limited to:

1. Service-related notifications, updates, and account information via email, SMS, and WhatsApp;
2. Notifications regarding material changes to these Terms, the Privacy & Cookie Policy, or any other applicable policy; and
3. Promotional communications, product updates, and marketing materials, subject to your preferences and applicable law.

You may manage your communication preferences through your account settings. Withdrawal of consent to certain communications may affect your access to specific features of the Platform.

10. Analytics

Vishesham uses analytics tools to monitor and analyse usage patterns on the Platform in order to improve its services, personalise your experience, and ensure the security and integrity of the Platform. By using the Platform, you consent to such collection and use of anonymised and aggregated analytical data. 11. Termination

Vishesham reserves the right, at its sole discretion and without prior notice, to suspend or terminate your account and access to the Platform if it determines that you have violated any provision of these Terms or any applicable law. Upon termination, all licences granted to you shall immediately cease, and you shall be required to delete or destroy any Content downloaded or accessed from the Platform. Termination shall not limit any other right or remedy available to Vishesham under law or equity.

12. Limitation of Liability

12.1 To the maximum extent permitted by applicable law, Vishesham, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of the Platform, including but not limited to loss of data, loss of profits, business interruption, or any other loss, even if Vishesham has been advised of the possibility of such damages.

12.2 In any event, the aggregate liability of Vishesham for any claim arising out of or relating to these Terms or the use of the Platform shall not exceed eighty percent (80%) of the total amount paid by you to Vishesham in the twelve (12) months immediately preceding the event giving rise to the claim, after deducting bank charges, payment gateway fees, and any other external service charges.

12.3 Vishesham does not control and shall not be responsible for the actions or omissions of third parties, including employers, recruiters, clients, payment gateways, video hosting services, or content delivery networks.

12.4 AI-Generated Content Disclaimer – Certain educational content, illustrations, summaries, examples, simulations, images, assessments, compilations, recommendations, or informational materials made available through the Platform may be generated, enhanced, curated, or assisted using artificial intelligence or automated systems. Such content is provided for informational, educational, and learning assistance purposes only and may contain inaccuracies, omissions, interpretational limitations, outdated information, or contextual errors. Users are solely responsible

for independently evaluating the suitability, accuracy, completeness, and applicability of such content before relying upon it for academic, professional, technical, employment, or other decision-making purposes. Vishesham does not warrant that AI-assisted or AI-generated content shall always be accurate, complete, error-free, current, or fit for any particular purpose.

13. Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India.

In the event of any dispute, the parties shall endeavour to resolve the matter amicably through good-faith negotiation within thirty (30) days of the dispute arising. If the dispute remains unresolved, it shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

14. Modifications to These Terms

Vishesham reserves the right to amend, modify, or update these Terms at any time at its sole discretion. Material changes to these Terms shall be communicated to registered Users via email to the address associated with their account. Your continued use of the Platform following the effective date of any such amendment shall constitute your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected.

16. Entire Agreement

These Terms, together with our Privacy & Cookie Policy, Disclaimer Policy, Legal Compliance Policy, and User Acceptance Policy, constitute the entire agreement between you and Vishesham with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
