LEGAL COMPLIANCE POLICY

1. Introduction

Vishesham Private Limited, operating the Buddy Mentor platform (www.buddymentor.ai) (hereinafter referred to as “Vishesham,” “the Company,” “we,” “us,” or “our”), is committed to conducting its operations in full compliance with applicable laws and regulations. This Legal Compliance Policy sets out the legal framework within which the Platform operates and the obligations of both Vishesham and its Users under the relevant statutory and regulatory provisions.

This Policy is an integral part of the contractual documentation governing the use of the Platform and should be read in conjunction with the Terms of Service, Privacy & Cookie Policy, Disclaimer Policy, and User Acceptance Policy.

2. Governing Legal Framework

The Platform operates under and in compliance with the following principal legislative instruments of India:

2.1 Information Technology Act, 2000 (as amended) and IT Rules, 2021

The Platform complies with the provisions of the Information Technology Act, 2000 (“IT Act”) and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (“IT Rules, 2021”). Vishesham, as an online intermediary, fulfils its obligations under Section 79 of the IT Act and the IT Rules, 2021, including:

  1. Publication and periodic review of the Terms of Service, Privacy Policy, and other user-facing policies;
  2. Designation and publication of contact details of the Grievance Officer;
  3. Establishment of a complaint redressal mechanism;
  4. Removal of unlawful content upon receipt of a valid court order or governmental directive; and
  5. Maintenance of user data and records as required by applicable rules.

2.2 Digital Personal Data Protection Act, 2023 (DPDP Act)

Vishesham complies with the provisions of the Digital Personal Data Protection Act, 2023 (“DPDP Act”) as a Data Fiduciary. Our compliance obligations include:

  1. Collecting personal data only for specified, clear, and lawful purposes;
  2. Obtaining free, specific, informed, and unambiguous consent from Data Principals (Users) prior to processing personal data;
  3. Ensuring accuracy, completeness, and security of personal data;
  4. Enabling Data Principals to exercise their rights of access, correction, erasure, and grievance redressal;
  5. Notifying Data Principals and the Data Protection Board of India in the event of a personal data breach; and
  6. Retaining personal data for no longer than necessary for the stated purpose, subject to a maximum retention period of three (3) years as specified in our Privacy Policy.

2.3 Consumer Protection Act, 2019 and E-Commerce Rules, 2020

As an e-commerce entity, the Platform complies with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, including:

  1. Display of accurate and complete information regarding products and services, including pricing, applicable charges, and terms;
  2. Maintenance of a fair and transparent refund, return, and cancellation policy;
  3. Prohibition of unfair trade practices and misleading advertisements;
  4. Provision of a consumer grievance redressal mechanism; and
  5. Ensuring that no product or service is listed without accurate representation of its nature, quality, and price.

2.4 Copyright Act, 1957

All content on the Platform, including course materials, curriculum, assessments, branding, and multimedia, is protected under the Copyright Act, 1957. Vishesham asserts its copyright in all such original works and enforces its rights against infringement. Users are prohibited from reproducing, distributing, or creating derivative works based on any Platform content without express written authorisation from Vishesham.

User-Generated Content posted on the Platform remains the intellectual property of the User who created it. However, by uploading such content, the User grants Vishesham a licence as described in the Terms of Service. Users are responsible for ensuring that any content they upload does not infringe the copyright or other intellectual property rights of any third party.

2.5 Indian Contract Act, 1872

The Terms of Service and all associated agreements entered into between Vishesham and its Users constitute legally binding contracts under the Indian Contract Act, 1872. All such agreements are premised on the lawful object, free consent, and consideration of both parties. Users who are competent to contract under the Indian Contract Act (i.e., persons who have attained the age of majority and are of sound mind) may enter into agreements with Vishesham through the Platform.

3. Intermediary Obligations

Vishesham operates as a technology intermediary and is not responsible for the content generated by third-party Users, Mentors, or other participants on the Platform, subject to the limitations prescribed under the IT Act and IT Rules, 2021. In this capacity, Vishesham:

  1. Does not initiate, select, or modify third-party content in a manner that alters the nature of such content;
  2. Provides a mechanism for reporting and removing unlawful content upon becoming aware thereof;
  3. Cooperates with law enforcement authorities and courts in India in accordance with applicable law; and
  4. Maintains records of Users and transactions as required by applicable law.

4. Dispute Resolution and Jurisdiction

All disputes, claims, or controversies arising out of or in connection with the use of the Platform, or any transaction conducted through the Platform, shall be resolved as follows:

  1. The parties shall first attempt to resolve the dispute through good-faith negotiation within thirty (30) days of the dispute arising;
  2. If the dispute remains unresolved, it shall be referred to mediation or conciliation, as may be mutually agreed; and
  3. Any dispute that cannot be resolved through the foregoing means shall be submitted to the exclusive jurisdiction of the courts of competent jurisdiction situated in Chennai, Tamil Nadu, India.

The governing law applicable to all disputes and transactions on the Platform is the law of India.

5. Limitation of Liability (Legal Compliance Context)

To the extent permitted by applicable law, Vishesham’s total liability for any claim arising in connection with the Platform shall not exceed eighty percent (80%) of the fees paid by the User to Vishesham in respect of the specific transaction or service giving rise to the claim, after deduction of applicable bank charges, payment gateway fees, and other third-party service charges.

This limitation of liability shall apply regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise) and shall survive the termination of any agreement between Vishesham and the User.

6. Compliance with International Law

Given that the Platform serves a global user base, including Users based in the United States of America and the European Union, Vishesham endeavours to comply with applicable international data protection and e-commerce regulations to the extent required for Users in those jurisdictions. Users based in the EU/EEA are additionally covered by the GDPR Policy published by the

Company. Users based in the USA are afforded rights and protections as may be applicable under relevant United States privacy laws.

International Users are responsible for ensuring that their use of the Platform complies with the laws of their own jurisdiction.

7. Prohibited Activities and Legal Consequences

The following activities are prohibited on the Platform and may attract legal action under applicable law:

  1. Unauthorised reproduction, copying, or distribution of copyrighted content in violation of the Copyright Act, 1957;
  2. Posting or transmitting unlawful, defamatory, obscene, or offensive content in violation of the IT Act, 2000;
  3. Impersonation, fraud, or misrepresentation in violation of the Indian Penal Code, 1860 / Bharatiya Nyaya Sanhita, 2023;
  4. Hacking, data theft, unauthorised access to systems, or any other cybercrime in violation of the IT Act, 2000;
  5. Engaging in activities that violate consumer protection laws or constitute unfair trade practices; and
  6. Any other activity that is unlawful under applicable Indian or international law.

Vishesham reserves the right to report any such activity to the appropriate law enforcement authorities and to cooperate fully in any resulting investigation or prosecution.

8. Grievance Redressal Mechanism

In accordance with the IT Rules, 2021, Vishesham has designated a Grievance Officer to receive and address complaints from Users. Details of the Grievance Officer are as follows:

All complaints shall be acknowledged within twenty-four (24) hours of receipt and shall be disposed of within a period of fifteen (15) days of receipt, unless the matter requires further investigation, in which case the User shall be kept informed.

9. Policy Review and Updates

This Legal Compliance Policy shall be reviewed periodically and updated as necessary to reflect changes in applicable law, regulatory requirements, or business practices. Material changes to this Policy shall be communicated to registered Users via email and shall take effect from the date specified in the updated Policy.
